TERMS OF SERVICE

1. Service Overview

Transovo provides an AI-powered headshot and portrait generation platform that uses proprietary artificial intelligence technology to create professional-quality images from photos you upload. Our Services allow you to upload reference photos of yourself, generate AI headshots and portraits across various styles and environments, and edit and customize your generated images. The specific features available to you depend on the package you purchase.

2. Eligibility

You must meet all of the following requirements to use our Services:

• You must be at least 18 years of age
• You must have the legal capacity to enter into a binding contract
• You must not have been previously suspended or permanently banned from our Services
• Your use of the Services must comply with all applicable laws and regulations in your jurisdiction

By using our Services, you represent and warrant that you meet all eligibility requirements. If you are using the Services on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

3. Account Registration and Security

To access most features of our Services, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information to keep it accurate
• Keep your password secure and confidential
• Notify us immediately at support@transovo.ai of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate your account if any information you provide is inaccurate, false, or outdated, or if we reasonably believe your account has been compromised. You may not share your account credentials with any third party or create accounts on behalf of others without their explicit consent.

4. Payment Terms

a. Fees and Pricing

Certain features of our Services require payment. All fees are listed in U.S. dollars. We reserve the right to change our pricing at any time. Price changes will be communicated in advance and will not affect purchases already completed. Promotional pricing is available at our discretion and may not apply to all users.

b. Payment Authorization

By providing payment information, you authorize us to charge the applicable fees to your payment method. All payments are processed securely by Stripe, Inc. We do not store your credit card number, CVV, or full payment details on our servers. You are responsible for any taxes applicable to your purchase.

c. One-Time Purchases

Most of our Services are offered as one-time purchases for a specific package of headshot credits. Credits do not expire and remain in your account until used. One-time purchases are non-refundable except as described in Section 5 of these Terms.

d. Subscription Services

If we offer subscription-based plans, your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time by contacting us at support@transovo.ai. Cancellation must be received before your renewal date to avoid being charged for the next billing period. We will notify you of any changes to subscription pricing in advance.

e. Delinquent Accounts

We reserve the right to suspend or terminate access to your account if any amount owed is past due. Accounts subject to chargebacks or fraudulent payment activity may be permanently banned from our Services. You are responsible for any fees or costs incurred in connection with collection of unpaid amounts.

5. Refund Policy

We want you to be satisfied with your results. Our refund policy is as follows:

a. Preview Before You Pay

Our Services provide watermarked preview images before you complete payment. By viewing your previews and proceeding to payment, you acknowledge that you have seen representative examples of what your generated headshots will look like. We strongly encourage you to review your previews carefully before purchasing.

b. Eligibility for Refunds

You may be eligible for a refund in the following circumstances:

• Technical failure: If a technical error on our end prevented your headshots from being generated and we are unable to resolve the issue within a reasonable timeframe
• Significant quality failure: If your generated headshots are substantially different from your preview images due to a confirmed error in our system

c. No Refunds For

Refunds will not be issued for:

• Dissatisfaction with results when previews were provided and reviewed before purchase
• Poor quality resulting from low-quality or non-compliant reference photos uploaded by you
• Change of mind after purchase
• Partial use of a credit pack

d. How to Request a Refund

To request a refund, contact us at support@transovo.ai within 7 days of your purchase with your order details and a description of the issue. We will review your request and respond within 5 business days.

6. Licenses

a. License to Use the Services

Subject to your compliance with these Terms, Transovo grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use our Services solely for your personal or internal business purposes. This license does not include the right to resell, sublicense, or commercially exploit the Services or any component thereof.

b. Ownership of Your Generated Headshots

Upon your purchase and download of generated headshots, Transovo assigns to you all rights, title, and interest in and to the headshots generated from your uploaded photos. You own your generated headshots and may use them for any personal or commercial purpose, including but not limited to professional profiles, business websites, marketing materials, and printed media. This assignment is conditioned on your continued compliance with these Terms.

c. License Restrictions

You may not:

• Reproduce, distribute, or publicly display the Services or any component of our technology platform
• Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying technology of our Services
• Copy, modify, or create derivative works of our Services or technology
• Interfere with or circumvent any security, access control, or technical feature of our Services
• Use automated tools, bots, or scrapers to access or interact with our Services
• Resell or sublicense access to our Services to third parties

d. Feedback

If you provide suggestions, ideas, or feedback about our Services, you grant Transovo a perpetual, irrevocable, royalty-free license to use that feedback for any purpose, including improving our Services, without any obligation to compensate you.

7. Intellectual Property

All aspects of our Services, including but not limited to our website, platform design, user interface, generation technology, prompt systems, quality control systems, proprietary AI pipeline, software, algorithms, trademarks, logos, and all related intellectual property (collectively, "Transovo IP") are owned exclusively by Transovo LLC and are protected by applicable intellectual property laws.

Nothing in these Terms grants you any rights to Transovo IP except the limited license to use the Services as described in Section 6. All rights not expressly granted are reserved by Transovo.

8. User Content and Uploaded Photos

a. Your Photos

When you upload photos to our Services ("User Content"), you retain full ownership of those photos. By uploading photos, you grant Transovo a limited, non-exclusive license to use your photos solely for the purpose of generating your AI headshots. This license terminates when your photos are deleted from our systems in accordance with our Privacy Policy.

b. What We Will Not Do With Your Photos

• We will not use your uploaded photos to train, fine-tune, or improve any AI model without your explicit prior written consent
• We will not sell, license, or share your uploaded photos with any third party
• We will not use your photos for any purpose other than generating your headshots

c. Your Representations Regarding Uploaded Photos

By uploading photos to our Services, you represent and warrant that:

• You are the person depicted in all uploaded photos, or you have obtained explicit written consent from all persons depicted
• You have the legal right to upload and use the photos for this purpose
• The photos do not violate any third-party intellectual property rights, privacy rights, or publicity rights
• The photos do not contain any content that is illegal, obscene, defamatory, or otherwise prohibited under these Terms

d. Photo Quality and Results

The quality of your generated headshots is directly affected by the quality of the photos you upload. We make no guarantee that low-quality, poorly lit, obscured, or non-compliant reference photos will produce satisfactory results. We provide guidelines for optimal photo uploads in our Help section. We are not responsible for poor results caused by non-compliant input photos.

9. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You may use your generated headshots for:

• Professional profiles including LinkedIn, company websites, and business directories
• Real estate listings and marketing materials
• Acting portfolios and casting submissions
• Personal branding and social media profiles
• Business cards, resumes, and printed materials
• Any other lawful personal or commercial purpose

10. Prohibited Conduct

You agree that you will not use our Services to:

• Upload photos of any person without their explicit consent
• Generate headshots intended to deceive, defraud, or impersonate another person
• Create content that is defamatory, harassing, threatening, or abusive toward any individual
• Generate images of minors under the age of 18
• Violate any applicable law or regulation
• Infringe any third-party intellectual property, privacy, or publicity rights
• Attempt to gain unauthorized access to our systems, servers, or databases
• Introduce malware, viruses, or any harmful code into our Services
• Use our Services in any way that could damage, disable, or impair our platform
• Circumvent, disable, or interfere with security features of our Services
• Resell, redistribute, or commercially exploit access to our Services without our prior written consent
• Use our Services to develop a competing product or service

Violation of these prohibited conduct provisions may result in immediate suspension or termination of your account without refund, and may subject you to legal liability.

11. Third-Party Services

Our Services integrate with third-party providers to function. These include payment processing, cloud storage, database infrastructure, and email delivery services. Your use of these integrations is subject to the respective third-party terms and privacy policies. We are not responsible for the practices of any third-party service providers.

Our Services may contain links to third-party websites. These links are provided for your convenience only. We do not endorse, control, or take responsibility for the content, privacy practices, or availability of any third-party website.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by applicable law, Transovo expressly disclaims all warranties, including but not limited to:

• Any implied warranty of merchantability, fitness for a particular purpose, or non-infringement
• Any warranty that the Services will be uninterrupted, error-free, or free of viruses or other harmful components
• Any warranty regarding the accuracy, reliability, completeness, or quality of any generated headshots
• Any warranty that generated headshots will meet your specific requirements or expectations
• Any warranty that results will be suitable for any particular professional or commercial use

AI-generated images are produced by automated systems and results may vary. We do not guarantee that any generated headshot will look identical to your uploaded photos or meet any specific quality standard beyond what is shown in your watermarked previews.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TRANSOVO LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

In no event shall Transovo's total cumulative liability to you for all claims arising out of or related to these Terms or the Services exceed the greater of: (a) the total amount you paid to Transovo in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Transovo LLC and its members, managers, employees, agents, successors, and assigns from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of or access to the Services
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your violation of any third-party right, including intellectual property rights, privacy rights, or publicity rights
• Any photos you upload to our Services
• Any use you make of your generated headshots

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such matter.

15. Termination

a. Termination by You

You may terminate your account at any time by contacting us at support@transovo.ai. Upon termination, your right to use the Services will immediately cease. Unused credits are non-refundable upon voluntary account termination.

b. Termination by Transovo

We reserve the right to suspend or permanently terminate your account and access to the Services at any time, with or without notice, for any of the following reasons:

• Violation of these Terms or our Privacy Policy
• Fraudulent, abusive, or illegal activity
• Non-payment of fees owed
• Any conduct that we determine, in our sole discretion, is harmful to other users, third parties, or our business

c. Effect of Termination

Upon termination for any reason: your license to use the Services immediately terminates; you must cease all use of the Services; we may delete your account data in accordance with our Privacy Policy; and any provisions of these Terms that by their nature should survive termination will survive, including Sections 7, 13, 14, 16, and 17.

16. Modifications to the Services and Terms

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice. We also reserve the right to update these Terms at any time. When we make material changes, we will post the updated Terms on our website and update the effective date at the top of this document. We will notify you of significant changes by email.

Your continued use of the Services after any changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.

17. Dispute Resolution and Arbitration

a. Informal Resolution

Before initiating any formal dispute, you agree to first contact us at support@transovo.ai and attempt to resolve the dispute informally. We will make good faith efforts to resolve any complaint within 30 days. If we cannot resolve the dispute informally within 30 days, either party may proceed to arbitration as described below.

b. Binding Arbitration

Except as provided in Section 17(d), any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in Virginia, or at another mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

c. Waiver of Class Actions

YOU AND TRANSOVO EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU WAIVE ANY RIGHT TO A JURY TRIAL.

d. Exceptions to Arbitration

Either party may bring an individual action in small claims court for disputes within that court's jurisdiction. Either party may also seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

e. Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. For any disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Virginia.

18. General Provisions

a. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms you agree to in connection with specific features of the Services, constitute the entire agreement between you and Transovo regarding the subject matter herein, and supersede all prior agreements and understandings.

b. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

c. No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of Transovo.

d. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Transovo may freely assign these Terms, including in connection with a merger, acquisition, or sale of all or substantially all of our assets.

e. Force Majeure

Transovo will not be liable for any failure or delay in performance of our obligations under these Terms due to causes beyond our reasonable control, including natural disasters, acts of government, internet or infrastructure outages, or other force majeure events.

f. No Third-Party Beneficiaries

These Terms are for the sole benefit of you and Transovo and do not create any rights in any third party.
